Terms of Trade
The commercial terms that apply to quotations, samples, orders and deliveries.
These terms apply to enquiries and orders placed with Li County Ziqing Trading Co., Ltd., trading as Jade Weaver Textiles (“we”, “us”). The proforma invoice (PI) you confirm for each order prevails over this page where the two differ. Last updated October 2026.
1. Quotations and website prices
Prices shown on this website are indicative prices in US dollars for the specification shown and do not constitute an offer. A written quotation or PI states the price basis (FOB, EXW or CIF), the port, the quantity bands and the validity date. Quotations may be revised if yarn prices, specifications or quantities change before the PI is confirmed.
2. Samples
Sample availability and any sample charge are stated on each style page and in the quotation. Development samples are made to the specification you confirm in writing. You review the sample and approve the final specification sheet before bulk production; changes after approval may affect price and timing. Sample charges and courier costs are invoiced separately unless the quotation states otherwise.
3. Orders and the proforma invoice
An order is confirmed when you accept the PI in writing, or place the corresponding order in our Alibaba.com store, and the first payment stage is received. The PI lists the styles and style codes, quantities by color and size, unit prices and price basis, payment route and stages, packing and labelling, and the planned production and delivery dates.
4. Payment
Payment is made either by T/T bank transfer to the company USD account printed on the PI, or through our Alibaba.com store with Trade Assurance. Payment stages are stated on the PI; production starts after the first stage is received, and goods are released after the balance is received. Bank charges outside China are borne by the buyer. We never request payment to a personal account or to any account that is not printed on the PI; if anything looks different, verify the account details with us before transferring.
5. Promotions
Promotional prices or shortened lead times announced on this website apply to the indicative price and only to orders whose PI is confirmed and whose first payment is received within the promotion period. Promotions cannot be combined with other offers or applied to orders already confirmed. The PI remains the formal quotation.
6. Lead time and delivery
A dated sampling plan accompanies the quotation, and the bulk schedule is confirmed on the PI after sample approval. The lead time runs from receipt of the first payment stage and approval of all order details, including sample, colors, labels and packing. Late approvals, specification changes or late payment extend the schedule accordingly. Delivery follows the price basis and port stated on the PI; freight, insurance and import duties are arranged and paid as agreed there.
7. Quality and claims
Goods are produced and inspected against the approved sample and specification sheet, within the tolerances agreed there. Please inspect the goods on arrival and report any shortage or defect to us in writing, with photos and quantities, promptly after receipt and before the goods are sold or further processed. Justified claims are settled by rework, replacement or credit as agreed in writing.
8. Private label, artwork and intellectual property
You confirm that you own, or are licensed to use, every logo, artwork, design, trademark and label content you provide, and you indemnify us against third-party claims arising from them. We develop your own designs or adapt our reference styles; we do not reproduce third-party branded or licensed products. Reference styles shown on this website remain the designs of Jade Weaver Textiles and its partner workshops.
9. Confidentiality
Tech packs, designs, prices and other information exchanged for a project are treated as confidential and used only for that project. Confidential designs should be sent through the agreed private channel rather than through public enquiry forms; private reference files are handled as described in our privacy notice.
10. Compliance and testing
You are responsible for informing us of the safety, labelling and import requirements of your destination market. Testing and certification are arranged on request and quoted separately. Compliance points are written into the tech pack before sampling so that they are agreed before production.
11. Changes and cancellation
Changes to quantities, colors or specifications after the PI is confirmed are reviewed case by case and confirmed in writing before they are applied. Changes after yarn has been purchased or production has started may affect the price and the schedule. Cancellation after production has started is subject to the costs already incurred for yarn, knitting, trims and labels.
12. General
Disputes are resolved by negotiation in the first instance; for orders placed through our Alibaba.com store, the platform's Trade Assurance rules also apply. These terms may be updated; the version published on the date of your PI applies to that order. If your company needs a signed supply agreement, please ask with your enquiry.
